Terms of Service

By creating an account or using Novoboat (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. The Service is intended for use by Indian businesses and is governed by Indian law.

1. Description of service

Novoboat is a cloud-based GST invoicing and business management application that allows you to:

• Create and manage GST-compliant invoices
• Manage customers and product catalogues
• Record and track payments
• Generate GST reports (GSTR-1, GSTR-3B, HSN summary)
• Run a point-of-sale counter
• Share invoices via WhatsApp and email

The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue features at any time with reasonable notice.

2. Account registration

• You must provide a valid Indian mobile number for OTP-based registration
• You are responsible for maintaining the security of your account
• You must provide accurate business information including your GSTIN if you are GST-registered
• One account per business. Multi-user access (accountant login) is permitted
• You must be at least 18 years old to create an account

3. Free trial

New accounts receive a 14-day free trial with full access to all features. The trial begins on the date of account creation. No payment information is required to start a trial. At the end of the trial, a subscription is required to continue using the Service.

4. Subscription and billing

Plans and pricing

Novoboat is available on a yearly subscription. Pricing is displayed at the time of purchase and may vary by platform (web, iOS, Android) to account for applicable store fees. No refunds are provided for partial subscription periods.

Web subscriptions (Razorpay)

Subscriptions purchased via the web app are processed through Razorpay. You authorise Razorpay to charge your payment method for the subscription amount.

In-app purchases (iOS and Android)

Subscriptions purchased through the iOS App Store or Google Play Store are governed by Apple's or Google's respective terms and are billed through your App Store / Play Store account. To cancel, manage your subscription in your device's App Store or Play Store account settings.

Auto-renewal

All subscriptions auto-renew at the end of each billing period. You can cancel auto-renewal at any time through your App Store, Play Store, or account settings. Cancellation takes effect at the end of the current billing period.

Grace period

If a renewal payment fails, we grant a 3-day grace period during which you retain full access. If payment is not resolved within the grace period, access is suspended.

5. Acceptable use

You agree not to:

• Use the Service to create fraudulent or false invoices
• Violate any applicable Indian tax laws or GST regulations
• Reverse engineer, decompile, or attempt to extract source code
• Use automated scripts to access the Service in a manner that exceeds normal usage
• Share your account credentials with unauthorised parties
• Use the Service for any unlawful purpose

6. Data and invoices

You retain ownership of all data you enter into Novoboat. By using the Service, you grant Novoboat a limited licence to store and process your data solely to provide the Service.

You are solely responsible for the accuracy of invoices, GST calculations, and compliance with applicable tax laws. Novoboat is a tool to assist with invoicing but does not constitute tax or legal advice. Consult a qualified CA for compliance guidance.

7. Data retention and deletion

You may request account deletion at any time via Settings → Request account deletion within the app. Due to GST and income tax record-keeping requirements under Indian law, financial records (invoices, payments) are retained for a minimum of 7 years. Non-financial data is deleted within 30 days of a verified deletion request.

8. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay for the Service. We will provide notice where practicable. You may terminate your account at any time.

9. Intellectual property

Novoboat and its original content, features, and functionality are owned by Novoboat and are protected by applicable intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

10. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to fitness for a particular purpose or uninterrupted availability.

11. Limitation of liability

Novoboat's total liability for any claim is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect or consequential damages, including loss of profits, data, or business opportunities.

12. Governing law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka. Both parties agree to attempt good-faith email resolution for at least 30 days before legal proceedings.

13. Changes to terms

We may modify these Terms at any time. Material changes will be communicated via in-app notification or email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
